Incorporated under the laws of Wisconsin and Illinois, this line was originally known as the Chicago & Northern Pacific Air-Line Railway Company. The railroad planned to build a sixty-five mile long section of line running from the St. Croix River at Superior Junction to Superior.

However, before the road could be completed, the line went bankrupt, and the Chicago, St. Paul, Minneapolis, and Omaha Railroad purchased the company’s assets.
